Agreement Sections
THIS AGREEMENT is made between TLD LLC dba LiquidationCloseouts.com("the Company") and The Customer set forth on the Invoice ("the Customer").
1. Texting Policy
By calling or texting 800-456-9492, Customers agree to receive text messages. If you no longer wish to receive text messages, you may opt-out at any time by replying "STOP".
2. Intellectual Property
The entire content included in this site, including but not limited to text, graphics, or code, is copyrighted as a collective work under the United States and other copyright laws, and is the property of LiquidationCloseouts.com. Copyright 2026. ALL RIGHTS RESERVED.
3. Retailer Terms & Branding
WHEREAS, Merchandise may relate to various original retailers, including, without limitation, Academy Sporting Goods, Walgreens, Albee Baby, Amazon.com, Dollar General, Home Depot, Bass Pro, Cabela’s, Harbor Freight Tools, Dick’s Sporting Goods, Kohl’s, Macy’s, CVS, Lowe’s, Target, Wayfair, Walmart, and/or other department stores or merchandisers (collectively, the “Department Stores”), with no affiliation or endorsement implied.
The Customer shall not advertise any purchased Merchandise using Department Store names, logos, or branding. The Customer agrees that all labels, tags, or identifying features referencing Department Stores must be removed prior to resale or distribution. Customer understands that failure to comply may jeopardize Company supplier relationships and agrees to cooperate promptly if corrective action is requested.
4. Condition of Merchandise
CONDITION OF MERCHANDISE: All merchandise is sold “as is,” with all faults, and without warranties or guarantees of any kind, express or implied. No refunds, returns, credits, or exchanges are offered or given.
Some Merchandise may be salvage, store returns, second-hand, damaged, expired, incomplete, or otherwise unsellable. Loads may be sold as bulk loads with no guaranteed piece count, assortment, or wholesale value. Any manifests provided are estimates only and are not guaranteed. Any approximate values stated are estimates only and do not represent or guarantee actual resale value. No representation is made as to packaging, style, selection, assortment, condition, seasonality, or resale suitability of the Merchandise. Customer understands that liquidation merchandise varies by nature and accepts such variability.
5. Transportation & Title
Customer is responsible for all transportation costs from the distribution center(s) and/or warehouse(s). Title and risk of loss pass to Customer upon release of shipment to the carrier. All claims for damage, shortage, or delay must be submitted directly to the freight carrier.
- Customer may not refuse delivery. Any storage, cross-dock, redelivery, demurrage, or related fees resulting from refusal or delay shall be Customer’s responsibility.
- For export shipments, Customer is responsible for all duties, taxes, customs, clearing, demurrage, or other associated fees.
6. Payments & Dispute Resolution
Customer acknowledges that payment by wire transfer or ACH constitutes a knowing and authorized transaction and agrees not to dispute, reverse, or mischaracterize such payment as unauthorized or fraudulent through any bank or financial institution.
Professional Conduct: Customer agrees to communicate any concerns directly with the Company in good faith prior to publishing public reviews, complaints, or statements regarding the Company or its Merchandise, and agrees not to use the threat of negative reviews as leverage to demand refunds, credits, or other concessions.
Jurisdiction: This Agreement is governed by the laws of the State of New York. Legal action shall be brought exclusively in the state or federal courts located in Kings County, New York. Parties waive the right to trial by jury.
Final Sale: All Orders are Sold As is as a final sale, no cancellations will be accepted.
